Name
The name of the market shall be the Woolton Hill Village Market (also referred to herein as ‘Market’).
Purpose
The purpose of the market will be to:-
Membership
The Committee will include a minimum of six members of whom no more than one will be a member of the Parish Council and no more than two will be members of the Parish Plan Steering Group (implementation team). Membership of the Committee will either be from volunteers or co-opted by the Committee as necessary.
Officers
There will only be one named Officer, i.e. Treasurer. Further Officers will be elected as considered appropriate by the Committee. In the absence of a secretary a member of the Committee will be asked to take notes.

This constitution may be altered with the consent of two thirds of the Committee (i.e. a minimum of four members).

Name

Purpose
The purpose of the market will be to:-
- Provide a venue to sell and promote locally produced food, goods and services ten months a year.
- Be a focal point for the community.
- Provide an opportunity for local organisations, on a rotating basis, to promote what they have to offer, and raise funds for their chosen charity or cause.
- Provide an opportunity for local schools and other community groups, on a rotating basis, to be involved in the market.
- Be a central resource offering facilities to as many residents as is practicable, where people can meet to shop and chat and for refreshments.
- To strive for a surplus of funds at the end of each calendar year, which can be used to donate to and promote selected community projects or organisations, which would help achieve the first five aims.
- Provide local Council, Parish Plan Steering Group etc. an additional forum to present forthcoming plans / issues and seek feedback.
- The market will not seek to compete directly with any local business (e.g. village shop)
- One of the aims of the Woolton Hill Village Market is to support local producers of food or crafts, and as such we expect many of our stallholders to be responsible for the majority of the production of their food or crafted goods. There will also be occasions when we wish to support a local person who is starting up or running their own business, with bought and sold goods or services. Our criteria will be:
- The product/ service is a good fit with the other Market products - the product is not directly competing with other local outlets. Any exceptions to this would need to be agreed in advance by a majority of the Committee.
Membership

Meetings
- The Committee intends to meet as appropriate, however in normal circumstances, not less than ten times per calendar year.
- Issues to be discussed at each meeting, in the form of an agenda, will be notified in advance via e-mail to all Committee members.
- The East Woodhay Parish Council web-site and other local communication channels, including web sites, Facebook pages, Twitter accounts and email distribution lists to be used for advertising and promotion of the Market and its related events.
- Matters will be determined by a majority of votes from those present.
- The required quorum is three.
- The person appointed at the start of each meeting shall keep a record of meetings and minutes will be circulated to Committee members within 14 days of each meeting.
- All working documentation will be available to any member of the committee on request and via the Google Drive facility, which has been opened up to all members.
Finance
- The Committee will charge a fee based on the size of the table or amount of space occupied with own table or equipment. Any exceptions will be agreed by the Committee.
- The Treasurer shall keep a clear record of income and expenditure and report back to the Committee on the state of the Market’s finances at each meeting.
- The Committee will maintain a bank or building society account with two signatures out of three being required to sign a cheque or withdraw cash.
- Reasonable travelling or other pre agreed expenses, supported by receipts, where appropriate, will be eligible for reimbursement.
Changes to the Constitution
This constitution may be altered with the consent of two thirds of the Committee (i.e. a minimum of four members).
Dissolution of the Committee
- Upon dissolution of the Committee, any remaining funds shall be donated to one or more charitable organisation(s) within the parish, with preference given to those organisations whose purpose(s) and aim(s) is/are in keeping with our own.
- All relevant materials gathered and produced during the process shall be handed over to the Parish Council for their records or for archiving.
